1. Acceptance of Terms
By accessing, browsing, or using NEX FOLIOS (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and NEX FOLIOS ("we," "us," or "our").
If you do not agree to these Terms, you must immediately discontinue use of the Platform and all associated services. Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those changes.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements in your jurisdiction.
2. Account Registration
To access most services on NEX FOLIOS, you must create an account. By registering, you agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your account credentials, including your password and any API keys generated.
- Accept responsibility for all activities that occur under your account, whether authorized by you or not.
- Immediately notify us of any unauthorized access or security breach of your account.
- Not create multiple accounts for the purpose of abusing promotions, referral programs, or circumventing restrictions.
- Not share, sell, or transfer your account to any third party without our written consent.
We reserve the right to suspend or terminate accounts that violate these requirements or that we reasonably believe are being used fraudulently.
3. Services Description
NEX FOLIOS provides the following digital services, subject to availability and these Terms:
3.1 SMS/OTP Verification Services
- Virtual Numbers: Temporary and semi-permanent virtual phone numbers for receiving SMS verification codes (OTPs) from online services.
- USA Numbers: Dedicated US-based virtual numbers for platforms requiring American phone verification.
- International Numbers: Virtual numbers from multiple countries worldwide for global service verification.
- Numbers are provided on an as-available basis. Specific number availability, country coverage, and supported services may change without notice.
- We do not guarantee that any specific service or platform will accept our virtual numbers for verification.
3.2 VTU (Virtual Top-Up) Services
- Airtime: Purchase mobile airtime/credit for all major network operators.
- Data Bundles: Subscribe to mobile data plans across supported networks.
- TV Subscription: Pay for cable TV subscriptions (DStv, GOtv, StarTimes, etc.).
- Electricity: Purchase prepaid electricity tokens for supported distribution companies.
- VTU services are subject to network operator availability and may experience delays during peak periods or network maintenance.
3.3 SMM Boost (Social Media Marketing)
- Social media engagement services including followers, likes, views, comments, and other metrics across supported platforms.
- Delivery times are estimates and may vary based on demand and platform conditions.
- We do not guarantee permanent retention of delivered services, as social media platforms may remove engagement at their discretion.
- Users are responsible for ensuring their use of SMM services complies with the target platform's terms of service.
3.4 Gift Cards
- Buying: Purchase digital gift cards for various brands and platforms at competitive rates.
- Selling: Trade your unused gift cards for wallet credit at current market rates.
- Gift card rates fluctuate based on market conditions and are subject to change without notice.
- All gift card sales are verified before credit is issued. Fraudulent or invalid cards will be rejected.
3.5 Marketplace
- A platform for buying and selling digital products, accounts, and services between users.
- NEX FOLIOS acts as an intermediary and is not responsible for the quality or authenticity of third-party listings.
- Sellers must accurately represent their products. Misrepresentation may result in account termination.
3.6 eSIM Services
- Digital SIM provisioning for compatible devices, providing mobile connectivity without physical SIM cards.
- eSIM availability depends on device compatibility and carrier support in your region.
- Once activated, eSIM purchases are non-refundable unless the eSIM fails to provision due to a platform error.
4. Payment and Billing
All transactions on NEX FOLIOS are processed through our secure payment infrastructure:
4.1 Payment Methods
- Bridgenetic: Card payments, bank transfers, and direct debit.
- Flutterwave: Card payments, bank transfers, mobile money, and USSD payments.
- Paystack: Card payments, bank transfers, and direct bank charges.
- Cryptocurrency: Bitcoin (BTC), USDT, and other supported digital currencies.
- Wallet Balance: Pre-funded platform wallet for instant transactions.
4.2 Billing Terms
- All prices are displayed in the currency indicated on the platform and include applicable fees unless stated otherwise.
- Payments are processed immediately upon order confirmation. Services are delivered after successful payment verification.
- You are responsible for any additional fees charged by your bank, payment provider, or cryptocurrency network (gas fees, transaction fees).
- Wallet deposits are credited after payment confirmation from the respective payment processor.
- We reserve the right to modify pricing at any time. Price changes do not affect previously completed transactions.
- Failed transactions due to insufficient funds, declined cards, or network errors are not charged. If a charge occurs without service delivery, contact support for resolution.
5. Refund Policy
Refund eligibility varies by service type. All refund requests must be submitted within the specified timeframe:
5.1 SMS/OTP Verification
- Refunds are issued if no SMS is received within the allocated time window for the purchased number.
- If an SMS is received (regardless of content), the transaction is considered complete and non-refundable.
- Numbers that expire without receiving any message are automatically refunded to your wallet balance.
- No refunds for numbers cancelled by the user before the expiration period.
5.2 VTU Services
- Airtime/Data: Non-refundable once delivered to the recipient number. Refunds are issued only if delivery fails due to a platform error.
- TV Subscription: Non-refundable once the subscription is activated on the decoder. Refunds for failed activations are processed within 24-72 hours.
- Electricity: Non-refundable once the token is generated. Failed token generation is refunded automatically.
5.3 SMM Boost
- Partial refunds may be issued for orders that are not fully delivered within the estimated timeframe.
- No refunds for delivered services that are later removed by the social media platform.
- Refund requests must be submitted within 7 days of order placement.
5.4 Gift Cards
- Purchased Cards: Non-refundable once the card code is revealed/delivered.
- Sold Cards: If a sold card is found to be invalid after verification, the transaction is reversed.
5.5 eSIM
- Non-refundable once the QR code or activation details are provided.
- Refunds are issued only for provisioning failures caused by platform errors.
5.6 General Refund Terms
- All approved refunds are credited to your NEX FOLIOS wallet balance unless otherwise specified.
- Cash refunds to original payment methods are processed on a case-by-case basis and may take 5-14 business days.
- Refund requests made after 30 days from the transaction date will not be honored.
6. Prohibited Activities
You agree NOT to use NEX FOLIOS for any of the following purposes:
- Fraud and Deception: Using our services to commit fraud, identity theft, phishing, or any form of deception against individuals or organizations.
- Illegal Activities: Any activity that violates local, national, or international laws, including but not limited to money laundering, terrorism financing, or drug trafficking.
- Spam and Abuse: Using virtual numbers or SMM services for spamming, harassment, or unsolicited communications.
- Platform Manipulation: Attempting to exploit, hack, reverse-engineer, or manipulate the platform, its APIs, or pricing systems.
- Account Abuse: Creating multiple accounts to exploit promotions, referral bonuses, or circumvent account restrictions.
- Reselling Without Authorization: Reselling our services without explicit written permission from NEX FOLIOS.
- Harmful Content: Distributing malware, viruses, or any content designed to harm other users or systems.
- Impersonation: Impersonating NEX FOLIOS staff, other users, or any third party.
- Circumventing Security: Attempting to bypass security measures, rate limits, or access controls.
- Intellectual Property Violation: Using our platform to infringe upon the intellectual property rights of others.
Violation of these prohibitions may result in immediate account termination, forfeiture of wallet balance, and potential legal action.
7. Intellectual Property
All content, features, and functionality of NEX FOLIOS are owned by us and are protected by international copyright, trademark, patent, and other intellectual property laws:
- The NEX FOLIOS name, logo, branding, and all associated visual elements are our exclusive trademarks.
- The platform's source code, design, layout, graphics, and user interface are proprietary and may not be copied, modified, or distributed.
- API documentation and developer tools are provided for authorized use only and remain our intellectual property.
- User-generated content (marketplace listings, reviews) remains the property of the respective users, but you grant us a non-exclusive license to display and distribute such content on the platform.
- You may not use our intellectual property for any commercial purpose without prior written consent.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- NEX FOLIOS is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- In no event shall NEX FOLIOS, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- Our total liability for any claim arising from or related to these Terms or your use of the platform shall not exceed the amount you paid to us in the 3 months preceding the claim.
- We are not liable for any losses resulting from:
- Third-party service failures (payment processors, SMS providers, network operators)
- Unauthorized access to your account due to your failure to maintain credential security
- Actions taken by social media platforms regarding SMM services
- Market rate fluctuations affecting gift card values
- Force majeure events beyond our reasonable control
9. Service Availability
NEX FOLIOS strives to maintain high availability but cannot guarantee uninterrupted service:
- Services may be temporarily unavailable due to scheduled maintenance, system upgrades, or emergency repairs. We will provide advance notice when possible.
- Virtual number availability varies by country and service. Specific numbers or countries may become unavailable without prior notice due to supplier constraints.
- VTU services depend on third-party network operators and may experience delays or outages beyond our control.
- SMM service delivery times are estimates and may be affected by platform algorithm changes or high demand periods.
- Payment processing availability depends on our payment partners (Bridgenetic, Flutterwave, Paystack) and their respective uptime.
- We reserve the right to discontinue any service, feature, or functionality at any time with reasonable notice to affected users.
- API access may be subject to rate limiting, maintenance windows, or version deprecation with appropriate notice.
10. Account Termination
Either party may terminate the account relationship under the following conditions:
10.1 Termination by User
- You may request account deletion at any time by contacting our support team.
- Upon deletion request, any remaining wallet balance (minus pending transactions) will be refunded to your original payment method within 14 business days.
- Account deletion is permanent and all associated data will be handled per our Privacy Policy retention schedule.
10.2 Termination by NEX FOLIOS
- We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in prohibited activities, or pose a security risk.
- We may terminate inactive accounts (no login for 12+ months) after sending a notification to your registered email.
- In cases of fraud or illegal activity, wallet balances may be frozen and forfeited pending investigation.
- We reserve the right to refuse service to anyone for any reason at our sole discretion.
10.3 Effects of Termination
- All pending orders and active services will be cancelled upon termination.
- API keys and developer access will be immediately revoked.
- Sections of these Terms that by their nature should survive termination (Limitation of Liability, Intellectual Property, Governing Law) shall remain in effect.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
- Any disputes arising from or relating to these Terms or your use of NEX FOLIOS shall first be attempted to be resolved through good-faith negotiation between the parties.
- If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria.
- The arbitration shall be conducted in English and the decision shall be final and binding on both parties.
- Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
- You agree that any legal action must be filed within one (1) year after the cause of action arises, or be permanently barred.
12. Changes to Terms
NEX FOLIOS reserves the right to modify, update, or replace these Terms at any time:
- Material changes will be communicated via email notification to your registered address and/or a prominent banner on the platform at least 14 days before taking effect.
- Minor changes (formatting, clarifications) may be made without advance notice.
- The "Last Updated" date at the top of this page will always reflect the most recent revision.
- Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
- If you disagree with any changes, you must stop using the platform and may request account closure and refund of any remaining balance.
